These Terms and Conditions are entered into by and between Jeeva AI, Inc. (the “Company” or “we”), and “Customer” or “you”. For the purposes of these Terms and Conditions, references to the “Jeeva platform” shall include any additional or renamed platforms that the Company provides the Customer access to.
BY EXECUTING AN ORDER FORM BOTH THE COMPANY AND CUSTOMER REPRESENT THAT THEY HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS:
Eligibility
To use the Jeeva platform, you must be at least 18 years old. By accessing or using the extension, you represent and warrant that you meet the age requirement.
Account Registration
To access certain features of the Jeeva platform, you may be required to create an account. When creating an account, you must provide a valid email address. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Subscription Plans and Payment
By subscribing to a paid plan, you agree to pay the fees associated with your chosen plan. All fees are non-refundable and non-transferable. We may change the pricing and subscription at the end of each term by providing you with no less than thirty (30) days’ notice of such proposed change.
Refunds (if applicable)
Refund only for the first subscription term.
Refund request must be raised at least ninety (90) days prior to the end of service.
Third-Party Integrations
The Jeeva platform integrates with third-party services, such as OpenAI and Google. Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the content, privacy practices, or functionality of these third-party services.
User-Generated Content
By using the Jeeva platform, you may enter prompts, which are requests made by the user to generate text. When you ask Jeeva to generate a response to an email, we will include both your prompt (i.e., the ask) and the email thread we are being asked to respond to. You are solely responsible for the content of your prompts and any generated text. You agree not to submit any prompts that are unlawful, defamatory, or infringing on the rights of others.
Intellectual Property of the Company
All intellectual property rights in the Jeeva platform, including but not limited to copyrights, trademarks, and trade secrets, are owned by Jeeva AI, or its licensors. You agree not to reproduce, distribute, or create derivative works based on the Jeeva platform without our express written permission.
Disclaimer of Warranties
The Jeeva platform is provided "as is" and without warranty of any kind, either express or implied. To the fullest extent permissible under applicable law, we disclaim all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of Liability
To the maximum extent permitted by law, Jeeva AI and its affiliates, licensors, and suppliers shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising from or relating to your use of the Jeeva platform, even if we have been advised of the possibility of such damages.
Indemnification
You agree to indemnify, defend, and hold harmless Jeeva AI and its affiliates, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your use of the Jeeva platform.
Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the state of California, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction for the resolution of any disputes arising out of or relating to these Terms and Conditions.
Severability
If any provision of these Terms and Conditions is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.
Termination
We reserve the right to terminate your access to the Jeeva platform, including but not limited to violations of these Terms and Conditions or applicable laws. Upon termination, your right to use the Jeeva platform will immediately cease.
Acceptable Use
You agree not to use the Services in a manner that is abusive, harassing, threatening, fraudulent, deceptive, or otherwise harmful to Jeeva, our users, or our personnel. Prohibited conduct includes, without limitation: (a) harassment or threats toward Jeeva personnel; (b) bad-faith, coercive, or extortionate claims; (c) attempts to obtain non-public internal logs, security telemetry, confidential system details, or other proprietary information outside our documented privacy/security processes; (d) manipulation or misuse of billing or dispute processes; or (e) abuse or disruption of support channels.
Account Integrity
You may not create or operate multiple accounts to bypass billing, trials, access controls, enforcement actions, or product limitations. If we detect related accounts associated with the same individual or payment instrument and reasonably believe they are being used for abuse or circumvention, we may merge, restrict, suspend, or terminate those accounts and refuse further service.
Termination
We may suspend, restrict, or terminate your access to the Services immediately, with or without notice, if we determine (in our reasonable discretion) that you have violated these Terms or engaged in abusive, fraudulent, threatening, or otherwise harmful conduct. We may also limit communications to written-only channels and/or designated contacts.
Subscription Term and Billing Cycle
Jeeva AI services are provided on a recurring subscription basis with a one-month billing cycle (the “Subscription Term”).
The Subscription Term begins on the date you first subscribe to Jeeva AI services and automatically renews for successive one-month periods unless and until you cancel in accordance with these Terms.
All subscription fees are billed in advance for each one-month Subscription Term and are non‑refundable, including where you cancel or stop using the services before the end of the then‑current Subscription Term.
If you terminate or downgrade your subscription in the middle of a Subscription Term, your access to the applicable Jeeva AI services will continue until the end of the then‑current Subscription Term, and you will not receive any credit or refund for any unused portion of that Subscription Term.
To avoid being charged for the next Subscription Term, you must cancel your subscription before the start of the next billing cycle, using the cancellation mechanism provided in your account settings or as otherwise specified by Jeeva AI.
Jeeva AI may change the subscription fees or billing cycle for future Subscription Terms by providing advance notice as required by applicable law. Any changes will take effect at the start of the next Subscription Term following the notice period.
Changes to Terms and Conditions
We reserve the right to modify these Terms and Conditions at any time, and we will provide notice of any material changes by posting the updated terms on our website or within the Jeeva platform. Your continued use of the Jeeva platform following any changes constitutes your acceptance of the updated terms.
